Terms of Service
1. Acceptance
By installing or using PromoGard ("the App"), you ("Merchant") agree to these Terms of Service. If you do not agree, do not install or use the App.
The App is operated by Thornhill Craftworks ("we", "us", "our").
2. Description of Service
PromoGard is a Shopify application that helps merchants manage promotions, bundles, cart incentives, and discount codes with conflict detection and stacking control. The App integrates with Shopify's Admin API and operates within your Shopify store.
3. Eligibility
- You must have an active Shopify store
- You must have authority to install applications on that store
- You must comply with Shopify's Acceptable Use Policy and Terms of Service
4. Pricing & Billing
Pricing tiers and billing details are presented at install time and within the App. By installing the App, you authorize Shopify to bill you according to the selected plan via the Shopify Billing API.
Charges are recurring per Shopify's billing cycle. You may cancel at any time by uninstalling the App; recurring charges will stop at the end of the current billing period.
5. Merchant Responsibilities
You are responsible for:
- Configuring promotions, bundles, and stacking rules accurately
- Reviewing diagnostic findings before relying on them in production
- Testing changes on your store before customer-facing rollout
- Communicating any pricing or promotional terms to your customers truthfully
- Compliance with applicable consumer-protection, advertising, and tax laws in your jurisdiction
6. Acceptable Use
You agree NOT to:
- Use the App to deceive customers about pricing or discount availability
- Reverse engineer, decompile, or attempt to extract source code
- Resell or redistribute the App or its functionality
- Use the App in violation of Shopify's policies or applicable law
- Interfere with the App's operation or other merchants' use of it
7. Service Availability
We strive for high availability but do not guarantee uninterrupted service. The App may experience downtime for maintenance, third-party outages (Shopify, Netlify), or unforeseen issues. We are not liable for losses arising from temporary unavailability.
8. Data & Privacy
Data handling is governed by our Privacy Policy. By using the App, you consent to the data practices described there.
9. Intellectual Property
The App, including its source code, design, and documentation, is the intellectual property of Thornhill Craftworks. Installation grants you a limited, non-exclusive, non-transferable license to use the App in connection with your Shopify store. Nothing in these terms transfers ownership of the App to you.
10. Disclaimers
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT ITS DIAGNOSTICS WILL CATCH EVERY POSSIBLE PROMOTION CONFLICT.
Diagnostic findings are advisory. You are responsible for reviewing your promotional configuration and verifying outcomes match your business intent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
12. Indemnification
You agree to indemnify and hold harmless Thornhill Craftworks against any claims arising from your use of the App, your violation of these terms, or your violation of any third-party rights or applicable law.
13. Termination
You may terminate your use of the App at any time by uninstalling it from your Shopify store. We may suspend or terminate access if you violate these terms or if Shopify removes the App from its platform.
Upon termination, your data is deleted automatically per the Privacy Policy.
14. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email or in-app notice. Your continued use of the App after changes means you accept the updated terms.
15. Governing Law
These terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of laws principles. Any dispute arising from these terms or the App shall be resolved in the courts of North Carolina.
